THESE TERMS AND CONDITIONS (“TERMS”) GOVERN YOUR ACCESS TO AND USE OF THE LOVELACE AI WEBSITE, AI PLATFORM, PRODUCT DEMONSTRATIONS (“DEMOS”), AND ANALYTICS TOOLS (COLLECTIVELY, THE “SERVICES”). BY ACCESSING OR USING ANY PART OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY.

1. Scope of Services

1.1 The Website.

Governs general browsing of lovelace.ai and related subdomains.

1.2 The AI Platform.

Governs the proprietary machine learning models, API access, and user interfaces provided by Lovelace AI.

1.3 Product Demos.

Demos are provided for evaluative purposes only. They may contain “beta” features and are provided “AS-IS” with no guarantee of future availability or performance.

1.4 Analytics Tools.

Governs the data visualization, processing, and diagnostic tools used to interpret data inputs and model outputs.

2. Proprietary Rights and Licenses

2.1 Limited License.

Lovelace AI grants you a limited, non-exclusive, non-sublicensable license to access the Services for your internal business operations or personal evaluation, subject to these Terms.

2.2 Lovelace AI IP.

Lovelace AI retains all right, title, and interest in and to the Services, including but not limited to:

• Proprietary algorithms, model weights, and training architectures.
• The “look and feel” of the analytics dashboards and interfaces.
• Any improvements or modifications derived from the use of the Platform.

2.3 User Content and Inputs.

You retain ownership of all data, text, or files you submit to the Platform (“Inputs”). You grant Lovelace AI a royalty-free, worldwide license to process Inputs solely to provide the Services and to perform automated analysis for model optimization.

3. Acceptable Use and Restrictions

You shall not, and shall not permit any third party to:

• Decompilation: Reverse engineer, decompile, or attempt to extract the source code or underlying model logic of the AI Platform.
• Competitive Intelligence: Use the Services, Demos, or Analytics Tools to conduct benchmarking or competitive analysis to build a similar or competing product.
• Automated Extraction: Use “crawlers” or “scrapers” to extract data from our Website or Platform without prior written consent.
• Misuse of AI: Use the Platform to generate material that is infringing, defamatory, or in violation of any third-party privacy rights.

4. Data Security and Analytics

4.1 Data Integrity.

We implement enterprise-grade administrative and technical safeguards to protect your data.

4.2 Third-Party Analytics.

As disclosed in our Privacy Policy, we utilize tools like Google Analytics to monitor the performance of our Website and Platform. By using the Services, you consent to the collection of telemetry data to improve Service stability and user experience.

5. Disclaimers and Limitation of Liability

5.1 AI-Generated Output.

You acknowledge that AI-generated content is probabilistic. Lovelace AI does not warrant the accuracy, completeness, or reliability of any Output. You are solely responsible for the human-in-the-loop review of any AI Output before implementation in a production environment.

5.2 No Warranty.

THE SERVICES ARE PROVIDED “AS IS.” LOVELACE AI DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

5.3 Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVELACE AI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT, OR $100.00, WHICHEVER IS GREATER.

6. Indemnification

You agree to defend and indemnify Lovelace AI, its affiliates, and its officers from and against any claims, damages, or legal fees resulting from your Input data, your violation of these Terms, or your unauthorized use of the AI Platform or Demos.

7. Export Compliance and Government Use

The Services are subject to United States export control and economic sanctions laws. You represent that you are not located in a sanctioned country and are not a prohibited end-user under U.S. Export Administration Regulations.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania.

9. Termination

Lovelace AI reserves the right to suspend or terminate your access to the AI Platform or Demos at any time, with or without cause, specifically for any suspected breach of Section 3 (Restrictions).
